Terms of Use
Version of November 6, 2026.
1. Summary
These are the main points. The summary helps you read, but the full text is what binds you.
- KalKuvo is a business tool. You are responsible for your estimates, your prices and your dealings with your clients.
- The trial lasts 30 days, with no card and no automatic charge. After that it costs $47 a month or $470 a year, if you decide to pay.
- You can cancel whenever you want, with no exit fees.
- If you do not pay, your account becomes read-only: you can see your information, download your PDFs, and your clients can still sign. We keep it for at least 12 months.
- Copying KalKuvo is prohibited. If you make estimating or invoicing software, section 14 bars you from competing with it during your account and for 12 months after. That does not stop you from working as a contractor or using other software.
- Any dispute is resolved in the courts of justice located in Adams County, Mississippi, United States.
2. Who we are and this agreement
KalKuvo is operated by Vacay Smith LLC, a Mississippi limited liability company (“we” or “us”). These Terms are a contract between us and you.
By checking the box and creating your account, you accept these Terms and the Privacy Policy. If you accept for a business, you represent that you have authority to do so, and “you” includes that business.
You agree to receive contracts, notices and records electronically. Checking the box counts as your signature.
3. Who can use KalKuvo
- You must be 18 or older and use it for your business, not for personal use.
- It is for businesses in the United States.
- One account per business, with truthful information.
- Only you and the people in your business may enter your account.
- You keep your password safe and are responsible for what is done with your account.
4. Free trial
The trial lasts 30 days from the day you create your account. We do not ask for a card and we make no automatic charge when it ends.
If we invite you to a special program, the trial may last a different period, which we will give you in writing.
5. Price and payment
After the trial, KalKuvo costs $47 a month or $470 a year, in United States dollars. Taxes are extra where they apply.
We charge you only if you choose a plan and give us your card. From then on the plan renews automatically, each month or each year, until you cancel.
We may change the price with at least 30 days' notice by email. The change applies from your next renewal. A price we promised you in writing stays valid on the terms of that promise.
If a payment fails and is not resolved, your account becomes read-only (section 7).
6. Canceling and refunds
You can cancel whenever you want, from the app or by email, with no exit fees. Cancellation takes effect at the end of the period you already paid for. Until then you keep full access.
Payments are not refunded automatically. If you believe you are owed a refund, write to us and we will review it. This does not limit what the law gives you.
7. If your trial or plan ends
Your account becomes read-only, with no automatic charge:
- You can see your information and download your PDFs and your client list.
- Your links stay live and your clients can still sign.
- You cannot create or send anything, or use the AI, until you pay.
We keep your information for at least 12 months after it ends. Before deleting it we notify you by email, at least 30 days ahead. You can ask us to delete it sooner, as the Privacy Policy explains.
8. Your work and your content
What you upload is yours: clients, estimates, prices, photos and text. You give us a limited permission to store, display and process it, only to provide the service, with the vendors named in the Privacy Policy.
You are responsible for your business:
- your estimates, prices, measurements and quantities;
- your licenses, permits, insurance, taxes and warranties;
- your contracts with your clients and the laws of your state, including contractor and consumer laws;
- the messages you send through your own WhatsApp, SMS or email;
- whether an electronic signature is valid for your deal in your state.
KalKuvo is not a party to your deals. Nothing in the app is legal, tax, insurance or construction advice.
9. Calculators and AI
The calculators, dictation and “Write better” are aids and can be wrong. Check measurements, quantities, prices and text before you send. You approve what goes to your client.
10. Your clients' data
You decide what client data you keep, and you must have the right to use it and to contact them. For that data we act as your service provider: we use it only to provide the service to you. If one of your clients asks us something about their data, we may refer them to you.
11. What KalKuvo does not do
- It does not guarantee your work, or that a client will sign or pay you.
- It does not collect payments from your clients for you.
- It does not check whether your prices are right or whether your estimate complies with the law.
- It does not replace a contract written by your lawyer.
- It does not ensure that a signature is valid in your state.
12. Acceptable use
You may not use KalKuvo to:
- deceive anyone or commit fraud;
- upload content that is illegal or that you have no right to use;
- send spam or messages the law does not allow;
- harm the service, send malware or load it abusively;
- enter accounts or data that are not yours.
We may remove content that breaches these Terms.
13. Ownership and license
KalKuvo is ours: the software, design, workflows, text, templates, calculators, glossaries and brand. All rights reserved.
We give you a limited, non-exclusive, revocable, non-transferable license to use KalKuvo in your business while you have an account and comply with these Terms. We give you no other right.
If you give us ideas or feedback, we may use them without paying or crediting you.
14. Protection against copying
This section protects the work behind KalKuvo. It stays in force after your account ends.
14.1 What is prohibited. Without our written permission, neither you nor anyone acting for you may:
- reverse engineer, decompile or disassemble KalKuvo, or extract its code, browser files, AI instructions or data structures;
- capture or analyze its traffic in order to replicate it;
- use bots, scrapers, AI agents or reverse-engineering tools to access, map or extract KalKuvo;
- copy or extract in bulk its templates, calculators, factors, glossaries, text, workflows or design;
- train or feed AI models with KalKuvo or its output;
- clone or imitate its features, workflows, screens or design;
- run security tests, or bypass its limits and protections;
- give a competitor access, or sell, rent or resell KalKuvo.
What your tools, employees, contractors or AI agents do counts as done by you. This does not limit using an ordinary browser or phone, or accessibility tools.
14.2 Competitors. If you make, sell or help make estimating or invoicing software for contractors, you may not open or use an account without our written permission. By accepting, you represent that you do not do so and do not act for anyone who does.
14.3 No competing. While your account is active, in trial or on a paid plan, and for 12 months after, you may not, in the United States, develop, sell, offer or help create software substantially similar to KalKuvo, meaning estimating and invoicing software for contractors.
14.4 No time limit. Separately, and with no time limit, you may never use what you saw or learned in KalKuvo to build something that competes with it. This obligation is independent of 14.3: if a court limits one, the other stands.
14.5 What this does not stop. You can keep working as a contractor, use any other software, cancel whenever you want, take out your own data and make spreadsheets for your own business.
14.6 Reviews and reports. You can publish honest reviews of KalKuvo, criticize it and report to any authority. Nothing here limits a right the law does not let you waive.
14.7 Confidential. Whatever is not public about KalKuvo, such as how it works inside, is confidential and a trade secret. Do not disclose it.
14.8 If you breach this section:
- We close your access immediately, with no refund.
- We may revoke your permission to access by notice or by blocking. From that moment, all access by you or anyone acting for you is unauthorized.
- The harm you cause cannot be repaired by money alone. We may seek an immediate court order in the courts of section 19, without bond where the law allows.
- We may claim our damages, the profits you made from the breach and any other legal remedy.
- In a dispute over this section, the winning party recovers its reasonable attorneys' fees and costs from the other.
- We keep the records of what you did as evidence.
15. Changes to the service
KalKuvo changes and improves: we may add, change or remove features. If we remove something important you pay for, we will tell you first. It can sometimes fail or be unavailable, and we do not promise it will always be available.
16. Warranties and limit of liability
TO THE EXTENT THE LAW ALLOWS, KALKUVO IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, JOBS, CLIENTS OR DATA.
OUR TOTAL LIABILITY FOR ALL CLAIMS NEVER EXCEEDS THE GREATER OF $100 OR WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
THESE LIMITS DO NOT PROTECT ANYONE WHO BREACHES SECTION 14 AND DO NOT REDUCE THE INDEMNITY IN SECTION 17.
17. Indemnity
If anyone makes a claim against us because of your business, your content, your dealings with your clients or your breach of these Terms, you defend us and cover us, including reasonable attorneys' fees.
18. Termination
We may suspend or close your account if you breach these Terms, if the law requires it, or if you put the service or other users at risk. If we close it for any other reason, we give you at least 30 days' notice and return the part you paid for and did not use.
When your account ends, sections 8, 13, 14, 16, 17, 19 and 21 stay in force, along with anything you owe us.
19. Governing law and courts
These Terms are governed by the law of Mississippi, without regard to its conflict-of-laws rules, together with applicable United States federal law.
Any dispute is resolved in the courts of justice located in Adams County, Mississippi, United States. That covers every dispute about these Terms, about KalKuvo or about your account, and it includes the federal court sitting in Adams County.
You agree to go to those courts, you submit to their jurisdiction, and you waive any claim that they are too far or the wrong place. There is no arbitration.
To the extent the law allows, you bring claims only for yourself, not in class or representative actions.
20. Changes to these Terms
If we make an important change, we notify you by email or in the app at least 30 days ahead, and we keep every version. If you keep using KalKuvo after that date, you accept the new version. If you do not agree, cancel before then. Corrections that do not hurt you apply immediately.
21. General
- Language: the English version controls. The Spanish version is for your convenience.
- If a court strikes down or limits a part, that part is reduced to the minimum needed to make it valid, and the rest stands.
- Not enforcing a right does not mean we waive it.
- These Terms, the Privacy Policy and any written price promise are the entire contract about KalKuvo.
- We may assign this contract if we sell or reorganize the business. You may not assign it without our permission.
- We are not liable for failures beyond our control, such as internet outages, disasters or vendor failures.
- We send notices to the email on your account.
